Terms of Service

Welcome to FaceVia AI! These Terms of Service ("Terms") apply to your use of our services provided by FaceVia AI. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, please do not use our services.

Communications

By creating an account on our service, you agree to receive communications from us, including marketing or promotional materials. You may opt-out of receiving these communications by following the unsubscribe link or contacting us via email.

Purchases

If you wish to purchase any product or service made available through our service ("Purchase"), you may be asked to provide certain information relevant to your Purchase, including your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase, and that the information you provide to us is true, correct, and complete.

We may use third-party services to facilitate payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

Subscriptions

FaceVia AI offers certain parts of our service on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"), either monthly or annually depending on the type of subscription plan you select when purchasing a Subscription. At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.

To process the payment for your Subscription, a valid payment method such as a credit card or PayPal is required. You must provide FaceVia AI with accurate and complete billing information, including your full name, address, state, zip code, telephone number, and valid payment method information. By submitting such payment information, you authorize FaceVia AI to charge all Subscription fees incurred through your account to any payment instruments you provide. If automatic billing fails to occur for any reason, FaceVia AI will issue an electronic invoice indicating that you must manually pay the full amount corresponding to the billing period as indicated on the invoice.

Free Trial

FaceVia AI may offer a Subscription with a free trial for a limited period of time ("Free Trial") at its sole discretion. If you enter your billing information when signing up for a Free Trial, you will not be charged until the Free Trial period has expired. On the last day of the Free Trial period, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.

Fee Changes

FaceVia AI reserves the right to modify Subscription fees for the Subscriptions at any time and without notice. Any Subscription fee changes will become effective at the end of the then-current Billing Cycle. Your continued use of the service after a Subscription fee change constitutes your agreement to pay the modified Subscription fee amount.

Refunds

FaceVia AI issues refunds for Contracts within fifteen (15) days of the original purchase of the Contract, provided that you meet the following criteria:

  • The refund request must be made within fifteen (15) days of the original Contract purchase.
  • Within this period, usage for each product should not exceed the specified limits.

Accounts

When you create an account with FaceVia AI, you guarantee that you are over the age of 18 and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on our service.

You are responsible for maintaining the confidentiality of your account and password, and for restricting access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password, whether your password is with our service or a third-party service. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or a name that is not lawfully available for use or offensive, vulgar, or obscene. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders in our sole discretion.

Furthermore, you acknowledge that your account is for your personal use only and may not be shared with others. Sharing or allowing unauthorized access to your account is strictly prohibited and may result in the suspension or termination of your account.

Permitted Use and Prohibited Activities

What You Can Do

When using our services, you acknowledge and agree that your usage is subject to adherence to these Terms and all applicable laws and regulations.

What You Cannot Do

It is strictly prohibited to engage in any illegal, harmful, or abusive activities while using our services. For instance, you are not allowed to:

  • Use automated scripts or programs to manipulate or abuse our service. Deliberate attempts to exploit our system or circumvent usage limits may result in the immediate termination of your account. Legal action may also be taken, if deemed necessary.
  • Use our services in a manner that infringes, misappropriates, or violates the rights of others.
  • Attempt to reverse engineer, decompile, or discover the source code or underlying components of our services, including our models, algorithms, or systems (except where prohibited by applicable law).
  • Use the Service to generate or distribute any content that is illegal, harmful, abusive, defamatory, obscene, or otherwise objectionable.
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service.
  • Use any automated system, including bots, spiders, or scrapers, to access the Site or the Service.
  • Engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service.
  • Use the Service to infringe upon the intellectual property rights of others.

Intellectual Property

FaceVia AI and its licensors own and retain all rights, title, and interest in and to the service and its original content (excluding content provided by users), features, and functionality. The service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of FaceVia AI.

Copyright Policy

We respect the intellectual property rights of others and have a policy to respond to any claim that content posted on our service infringes on the copyright or other intellectual property rights of any person or entity. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please submit a claim to our Copyright Agent via email.

You may be held accountable for damages (including costs and attorneys' fees) for misrepresentation or bad-faith claims on the infringement of any content found on and/or through our service on your copyright.

User Content

Ownership and Responsibility

You retain ownership of any content, including videos, text, images, or other materials, that you upload or generate using the Service ("User Content"). You are solely responsible for the User Content you create, upload, publish, or share through the Service.

License to FaceVia AI

By submitting User Content to the Service, you grant FaceVia AI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, and display such User Content for the purpose of operating, improving, and promoting the Service.

Content Restrictions

You agree not to upload, generate, or share any User Content that:

  • Is misleading, false, or inaccurate.
  • Violates any applicable laws or regulations.
  • Engages in unauthorized face-swapping.
  • Infringes on the intellectual property rights of others (including but not limited to film and television, animation, game characters, trademarks, and more).
  • Includes any unsolicited promotions, political campaigning or solicitations.
  • Shares personal details of others without their explicit consent.
  • Discloses information you are not authorized to share due to legal, contractual or fiduciary obligations.
  • Could endanger or exploit children by exposing them to inappropriate content.
  • Contains any form of malware, viruses, or other harmful code.
  • Contains explicit sexual material or themes.
  • Is deemed, in our sole judgment, inappropriate or disruptive to other users' experience, or poses potential harm or liability to us or others.
  • Any violation of these terms may result in the suspension or termination of your account.

Links to Other Websites

FaceVia AI may contain links to third-party websites or services that are not owned or controlled by FaceVia AI. FaceVia AI has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. FaceVia AI does not warrant the offerings of any of these entities/individuals or their websites.

Users acknowledge and agree that FaceVia AI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. It is strongly advised to read the Terms of Service and Privacy Policies of any third-party websites or services that you visit.

Disclaimer of Warranty

FaceVia AI provides its services on an "as is" and "as available" basis, and makes no representations or warranties of any kind, express or implied, as to the operation of the services, or the information, content, or materials included therein. Users expressly agree that their use of the services, their content, and any services or items obtained from FaceVia AI is at their sole risk.

Neither FaceVia AI nor any person associated with FaceVia AI makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the services. Without limiting the foregoing, neither FaceVia AI nor anyone associated with FaceVia AI represents or warrants that the services, their content, or any services or items obtained through the services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the services or the server that makes it available are free of viruses or other harmful components, or that the services or any services or items obtained through the services will otherwise meet the users' needs or expectations.

FaceVia AI hereby disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for a particular purpose. The foregoing does not affect any warranties which cannot be excluded or limited under applicable law.

Limitation of Liability

Except as prohibited by law, users will hold FaceVia AI and its officers, directors, employees, and agents harmless for any indirect, punitive, special, incidental, or consequential damage, however it arises (including attorneys' fees and all related costs and expenses of litigation and arbitration, or at trial or on appeal, if any, whether or not litigation or arbitration is instituted), whether in an action of contract, negligence, or other tortious action, or arising out of or in connection with this agreement, including without limitation any claim for personal injury or property damage, arising from this agreement and any violation by the users of any laws, statutes, rules, or regulations, even if FaceVia AI has been previously advised of the possibility of such damage.

Except as prohibited by law, if there is liability found on the part of FaceVia AI, it will be limited to the amount paid for the products and/or services, if any. This provision creates your exclusive remedy against FaceVia AI for all claims.

Indemnification

You agree to defend, indemnify, and hold harmless FaceVia AI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, including, but not limited to, attorney's fees, arising from:

  • Your use and access of the Service
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your User Content caused damage to a third party

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
